Terms of Service

1. Acceptance of Terms

By accessing or using the UnCard platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and UnCard (“we,” “us,” or “our”).

2. Description of Service

UnCard is a financial technology platform that enables users to issue crypto-funded virtual payment cards (“Cards”) for online and in-person spending. We are not a bank, exchange, or asset custodian. All Cards are issued by licensed payment partners within their respective jurisdictions. Deposited cryptocurrency is converted to USD credits and held as a platform balance; we do not custody crypto assets.

3. Eligibility

You must meet all of the following requirements to use the Service:

• You are at least 18 years of age.
• You are not a resident of a jurisdiction where the Service is prohibited by law.
• You are not subject to any sanctions programs administered by OFAC, the UN, EU, or equivalent bodies.
• You have the legal right to use the cryptocurrency you deposit.

4. Account Registration

You must provide a valid email address to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorized access. We reserve the right to terminate accounts that violate these Terms or applicable law.

5. Deposits, Balances, and Cards

Cryptocurrency deposits are converted to USD credits at the exchange rate determined at the time of processing. These credits are stored as a platform wallet balance and may be used to fund virtual Cards. Balances are not insured by any government deposit protection scheme.

Cards are issued instantly upon request subject to available balance. Card spending limits, merchant category restrictions, and geographic availability are determined by our card-issuing partners and may change without notice.

6. Fees

Fees applicable to card issuance, top-ups, and other transactions are displayed within the platform prior to confirmation. We reserve the right to modify our fee schedule with reasonable notice. Continued use of the Service after a fee change constitutes acceptance of the updated fees.

7. No Refund Policy

Due to the irreversible nature of cryptocurrency transactions, all deposits are final and non-refundable. We strongly recommend verifying all deposit amounts before confirming any transaction. In exceptional circumstances, refund requests may be reviewed at our sole discretion.

8. Prohibited Uses

You agree not to use the Service to:

• Engage in money laundering, fraud, or any other illegal financial activity.
• Purchase illegal goods or services.
• Circumvent sanctions or export control regulations.
• Violate any applicable local, national, or international law or regulation.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorized access to any part of the Service or its related systems.

We reserve the right to suspend or terminate accounts that violate these restrictions and to report suspected illegal activity to relevant authorities.

9. Intellectual Property

All content, trademarks, logos, and software comprising the Service are owned by or licensed to UnCard. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal or business purposes in accordance with these Terms. You may not reproduce, distribute, or create derivative works without our express written consent.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNCARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING LOSSES DUE TO CRYPTOCURRENCY PRICE VOLATILITY, NETWORK FAILURES, OR UNAUTHORIZED ACCESS TO YOUR ACCOUNT.

11. Indemnification

You agree to indemnify and hold harmless UnCard, its officers, directors, employees, and partners from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any applicable law.

12. Changes to the Service and Terms

We reserve the right to modify or discontinue the Service, or any part thereof, at any time. We may also update these Terms periodically. Material changes will be communicated by updating the “Last updated” date above or by other means. Your continued use of the Service after any change constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under or relating to these Terms shall be resolved through binding arbitration or in the courts of the jurisdiction where UnCard operates, as determined by us.
